Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of the products and services provided by Shisu, Inc. ("Shisu," "we," "us," or "our"), including our voice ordering agent, our SMS operations assistant, our point-of-sale and payment tools, our dashboards, and our website (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a restaurant or other organization, you represent that you have authority to bind that organization.

2. The Services

The Services include, depending on what a restaurant enables:

• An AI voice agent that answers calls and takes orders on a restaurant's behalf
• An SMS operations assistant that a restaurant's staff and owners use to manage shift scheduling and coverage, item availability, inventory, operational questions, and sales summaries
• Point-of-sale and payment tools, including card payments processed through our payment provider
• Web dashboards for configuration, scheduling, and reporting

We may add, change, or remove features over time. We may also suspend or limit the Services for maintenance, security, or compliance reasons.

3. Accounts

To use most features you must create an account and provide accurate information. You are responsible for safeguarding your account credentials and for all activity under your account. Notify us promptly at support@shisu.ai if you suspect unauthorized use.

4. Restaurant Responsibilities

If you are a restaurant operator, you are responsible for how you use the Services with your staff and customers. In particular, you agree that:

• You will only add a staff member's mobile number to the Services when you have that person's consent to receive operational text messages from the Services, and you will promptly remove anyone who withdraws consent or leaves your employment.
• You are responsible for the accuracy of the phone numbers, menu, schedule, and other data you enter, and for your own compliance with employment, labor, wage, and tax laws.
• You will use the Services only for lawful, internal restaurant-operations purposes, and not to send marketing, promotional, or unsolicited messages.
• You are responsible for your own obligations to your staff and customers, including any notices or disclosures required by law.

5. Text Messaging Terms

The SMS operations assistant sends operational messages to a restaurant's staff and owners who have opted in. Message frequency varies with restaurant activity. Message and data rates may apply. You may opt out at any time by replying STOP, get help by replying HELP, or opt back in by replying START. We do not send marketing or promotional text messages, and we do not share mobile numbers or opt-in data with third parties for their marketing. Carriers and Shisu are not liable for delayed or undelivered messages.

6. Acceptable Use

You agree not to:

• Use the Services to send unlawful, harassing, deceptive, or unsolicited messages
• Attempt to gain unauthorized access to the Services, other accounts, or our systems
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer or resell the Services except as expressly permitted

7. Payments

For restaurants that enable payments, card transactions are processed by our payment provider (Stripe) under its own terms. Funds from customer payments are settled to the restaurant's connected account; Shisu does not take a cut of, or hold, those funds. You are responsible for your own pricing, taxes, refunds, and chargebacks. Fees for the Services, if any, are as described in your order or pricing agreement with us.

8. Intellectual Property

The Services, including all software, models, and content we provide, are owned by Shisu and our licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription. Data you enter remains yours; you grant us the right to process it to provide and improve the Services as described in our Privacy Policy.

9. Third-Party Services

The Services rely on third-party providers (including Telnyx, OpenAI, Amazon Web Services, Supabase, and Stripe). Your use of the Services may be subject to those providers' terms. We are not responsible for third-party services we do not control.

10. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that messages or orders will always be delivered or processed accurately.

11. Limitation of Liability

To the maximum extent permitted by law, Shisu will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. Our total liability for any claim arising out of or relating to these Terms or the Services will not exceed the amounts you paid us for the Services in the twelve months before the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold Shisu harmless from any claims, damages, liabilities, and expenses arising out of your use of the Services, your data, or your violation of these Terms or of applicable law, including any claim relating to messages you caused the Services to send.

13. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms, fail to pay fees, or use the Services in a way that creates legal or security risk. Upon termination, your right to use the Services ends; sections that by their nature should survive (including Sections 7–12) will survive.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Effective" date at the top of this page. Continued use of the Services after changes constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in New York, New York, and you consent to their jurisdiction.
